ViaUAE — Terms & Conditions

Corevia L.L.C-FZ · Version 1.1 · 20 September 2026

We help you set up your company and arrange your residency in the UAE. These terms explain what we handle, what we need from you and how we work together.

Read them alongside your quotation. Pay particular attention to section 3 (professional advice), section 7 (cancellation), section 8 (mandatory rights) and section 12 (liability).

1. Who you are working with

1.1 ViaUAE is a brand operated by Corevia L.L.C-FZ, a UAE limited liability company registered in Meydan Free Zone. Your contract is with Corevia L.L.C-FZ, referred to below as “ViaUAE”, “we”, “us” or “our”.

Trade licence: 2530284.01

Formation number: 2530284

Registered address: Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E.

1.2 “You” means the customer identified in our accepted quotation or service agreement. If you act for an existing company, you confirm that you have authority to bind it. Acting as its contact person does not, by itself, make you personally liable for its obligations.

1.3 If the company being formed does not yet exist, the person or existing entity named as the customer contracts with us. A new company does not automatically replace that customer. Any transfer requires written agreement.

1.4 We serve customers in the UAE, Denmark, elsewhere in Europe and other countries. Your location does not expand our services beyond the agreed scope. Any rights that applicable law does not allow you to waive remain protected.

2. When an agreement starts

2.1 Before you place an order, we provide a written quotation and these terms. An agreement starts when you accept that quotation and these terms in writing or through an explicit electronic acceptance process, and we confirm your order in writing. We provide a copy you can retain.

2.2 Using our calculator, submitting an enquiry or booking a call does not create a paid engagement. Calculator results and informal estimates are indicative until confirmed in a quotation.

2.3 The quotation identifies the customer, services, price, currency, payment schedule and any specific conditions. An expressly agreed variation in the quotation or a signed service agreement takes priority over these terms. Mandatory law takes priority over both.

2.4 Partner and referral arrangements require a separate agreement. They do not arise simply because you contact us or refer someone.

2.5 We may retain acceptance records, including the version accepted and the date. These records may be used as evidence but do not prevent you from disputing an error.

3. What we do

3.1 We provide business setup coordination and administrative support in the UAE, including through free zone channel partnerships. Depending on your quotation, this may include company formation, licence applications, residency applications, Emirates ID coordination, bank application support and introductions to specialist providers. We act within our licensed activities and applicable approvals.

3.2 Only the services listed in your quotation are included. A visa allocation is not an issued visa. A company licence does not include a bank account, tax registration, bookkeeping or renewal services unless expressly stated.

3.3 We perform our work with reasonable care and skill. We explain the next steps and tell you about material issues we become aware of that affect your application.

3.4 We are not a law firm, tax adviser, accountant, auditor, bank or investment adviser. Our immigration support covers administration and coordination, not legal opinions or representation in immigration disputes. Specialist legal, tax, accounting and other regulated work is handled by separately identified, appropriately authorised providers.

3.5 Information we share about ownership, holding companies, free zones, tax, residency or banking is general information. It is not a professional assessment of your personal position. Obtain independent advice in the UAE and each other relevant country before making decisions that depend on that assessment.

3.6 Forming a UAE company or obtaining a UAE residence visa does not, by itself, end tax residence elsewhere, establish treaty entitlement, guarantee a particular tax rate or protect assets from creditors. Cross-border ownership, management, reporting and relocation require separate assessment. We do not promise tax savings, secrecy or asset protection.

3.7 You approve the proposed activities, ownership and application details before submission. We may submit approved information and communicate with providers within the agreed scope. These terms do not give us a general power of attorney or authority to sign personal declarations, guarantees or bank mandates for you. Separate authorisation is required where appropriate.

4. Authorities and banks make the decisions

4.1 Free zones, government authorities and banks decide whether to approve applications and on what conditions. We cannot guarantee a company name, licence, visa, Emirates ID, bank account or other approval.

4.2 Processing times are estimates unless we expressly agree otherwise in writing. Additional checks, document requests, medical requirements and changes to official procedures can affect the timetable. Avoid making non-refundable commitments based only on an estimated completion date.

4.3 Bank support means the assistance described in your quotation. The bank controls its eligibility checks, account features, minimum balances, fees and ongoing review. An introduction or completed application is not an approval.

4.4 A delay or refusal outside our control is not, by itself, a failure by us to perform our services. This does not excuse errors or failures for which we are responsible.

5. What we need from you

5.1 Provide accurate, complete, current and genuine information. Tell us promptly about changes to ownership, nationality, residence, business activity or other relevant circumstances.

5.2 Cooperate with identity, beneficial ownership, sanctions, source-of-funds and other compliance checks. Disclose any relevant restriction or issue that could affect the application. We may decline or pause work where we cannot lawfully proceed.

5.3 Review documents when requested, meet deadlines and attend appointments that require your presence. You remain responsible for the accuracy of declarations made in your name.

5.4 You are responsible for operating lawfully and keeping your company and residency compliant. This includes applicable licence and visa renewals, accounting, tax registration and returns, beneficial ownership filings, employment obligations and any other required approvals. We take on a specific recurring task only where agreed in writing.

5.5 Keep copies of your records and monitor your deadlines. A courtesy reminder does not create an ongoing compliance engagement. Where reminders or deadline management are expressly included in your package, we remain responsible for that agreed work.

6. Prices and payment

6.1 Your quotation states what you pay and what is included. It distinguishes our service fee from authority and other third-party charges where applicable. For a bundled price, we provide the allocation before you accept if it affects refunds or the liability limit in section 12. We do not set that allocation retrospectively.

6.2 Quotations remain valid for the period stated. VAT and other applicable taxes are shown in the quotation. Consumer prices include mandatory taxes and unavoidable charges where the law requires this. Any charge that cannot reasonably be calculated in advance is explained before ordering.

6.3 Payment follows the agreed schedule. Unless stated otherwise, payment is due before work starts. The quotation identifies the payment currency and any agreed conversion method. We disclose any permitted payment charge before you pay.

6.4 Costs such as insurance, translation, attestation, travel, accommodation, office rent and bank charges are included only where listed. Medical tests and Emirates ID charges are included only to the extent stated in your package.

6.5 If an authority changes a fee before submission, we explain the change and request your approval before committing you to an additional cost. You may decline and cancel the affected unperformed work under section 7. We do not increase our agreed service fee without your agreement.

6.6 Extra services require an agreed scope and price. Renewal fees are quoted separately unless your agreement expressly includes them. There is no automatic renewal or recurring charge without an express agreement describing its duration and cancellation terms.

7. Cancellation and non-refundable fees

7.1 Our services involve work and financial commitments from the start. Once we begin substantive work on your engagement at your instruction, our agreed service fee is earned and non-refundable on cancellation by you, to the fullest extent permitted by applicable law. Substantive work includes reviewing your application documents, preparing your incorporation file, coordinating your selected setup with a free zone or preparing an agreed application. An automated acknowledgement alone is not substantive work.

7.2 Government, free zone and other third-party charges are non-refundable once paid or irrevocably committed on your behalf, to the extent they cannot be recovered from the recipient. This includes authorised application, reservation, registration, licence and visa charges. You authorise us to incur the charges included in your accepted quotation as needed to perform the services.

7.3 Changing your mind, changing your plans, deciding not to relocate, abandoning the application or failing to provide documents or attend appointments does not entitle you to recover fees that have become non-refundable under sections 7.1 and 7.2.

7.4 An authority's or bank's rejection, delay, additional requirements or refusal does not, by itself, entitle you to a refund of those fees. We charge for the agreed services and application support, not for a guaranteed approval. This does not exclude responsibility for our own breach or any remedy required by law.

7.5 If you ask to cancel, email info@viau.ae. Cancellation does not reverse work already performed, revoke an issued licence or visa, or cancel financial commitments already made. Closing a company, cancelling a visa, changing an application or submitting a new application may involve additional work and charges, which require a separate agreement.

7.6 We do not promise a discretionary refund of fees that have become non-refundable. If a third party returns money paid on your behalf, we pass on the amount recovered, less that provider's documented deductions and any amount you separately authorise us to apply to outstanding charges. Money earmarked for third-party charges that has neither been spent nor irrevocably committed is returned after cancellation. It does not become our service fee.

7.7 If you cancel before substantive work starts and before any authorised cost is incurred or irrevocably committed, we return your payment. If only part of the order has started, a separately priced service that has not started is not treated as earned simply because another service has begun. Refunds due under this section are processed within 14 days after the amount becomes due, or sooner where required by law.

7.8 Nothing in this section allows us to retain payment contrary to mandatory law, avoid a required remedy for defective or undelivered services, or keep fees for work we elect not to perform without a lawful contractual basis. Section 8 applies throughout.

7.9 A chargeback or payment dispute does not extinguish a valid contractual debt. We may provide evidence of your acceptance, work completed and costs incurred to the payment provider, and pursue amounts lawfully due. This does not restrict your lawful right to dispute a payment or allow double recovery.

8. Mandatory rights

8.1 These terms are intended primarily for UAE business setup engagements. Nothing excludes a right or remedy that cannot be excluded under applicable UAE law or other mandatory law that applies to the engagement. This includes any applicable consumer, cancellation, refund, data protection or court-access rights.

8.2 Customer status is determined by applicable law and the purpose of the engagement, not solely by a business-customer label. Where a statutory withdrawal period applies, any request to begin early and acknowledgement concerning loss of that right must be obtained separately in the form required by law. Accepting these terms alone does not waive it. We supply any legally required pre-contract information and withdrawal form separately before the order.

8.3 Any mandatory right takes priority over the non-refund policy, liability limits and choice of law in these terms. No voluntary cooling-off period is offered beyond rights required by applicable law.

9. Partners and specialist providers

9.1 We may use service providers to assist with agreed work. Outsourcing a task does not remove our responsibility for the services we have contracted to provide.

9.2 Where we only introduce an independent provider, we identify that role. Your separate engagement with that provider is governed by its own terms, fees and professional responsibilities. We remain responsible for our own conduct in making the introduction.

9.3 If a package includes specialist work, the quotation identifies who performs it and whether you contract with that provider directly. We do not describe accounting, audit, tax or legal work as work performed by ViaUAE where it is delivered by a separate specialist.

9.4 We may receive commissions, referral fees or incentives from free zones or providers. These commercial relationships may influence the options we present. We do not claim to compare every provider or act as an independent adviser. The price you accept remains the price agreed in your quotation, subject to section 6.

10. Personal information and communications

10.1 We handle personal information under applicable data protection law and the separate privacy notice provided when we collect it. That notice explains purposes, legal bases, recipients, retention, international transfers and your rights. These terms do not replace it or create blanket consent to data use.

10.2 We share information with authorities, free zones, banks and service providers as needed for agreed services or legal obligations, subject to applicable requirements. Any international transfer must meet the legal requirements that apply; accepting these terms is not a waiver of those protections.

10.3 We keep non-public customer information confidential, with disclosure limited to delivering agreed services, authorised disclosures and lawful requirements. We use reasonable safeguards and require appropriate confidentiality from providers.

10.4 We may contact you by email, phone or agreed messaging channels about your enquiry or engagement. Marketing is handled separately, with consent where required and an accessible opt-out. Buying a service is not a condition for agreeing to marketing.

11. Pausing or ending the work

11.1 We may pause work for overdue payment, missing information, abusive conduct or a material breach. Where reasonable, we explain the problem and give you an opportunity to resolve it before ending the agreement.

11.2 We may pause or end work immediately where continuing would be unlawful, a required compliance check cannot be completed, or there is a serious security or fraud concern. We may make legally required reports and may be restricted from explaining them.

11.3 If we end an engagement because of your breach or failure to cooperate, fees and authorised costs that have become non-refundable under section 7 remain payable to the extent permitted by law. We account for money received and return any balance legally or contractually due. If we choose not to complete the services for reasons unrelated to your breach, we return fees attributable to the services we will not perform, together with uncommitted third-party funds, subject to mandatory legal restrictions. We provide completed deliverables you are entitled to receive.

11.4 Neither party is responsible for a failure caused by events beyond its reasonable control where applicable law permits this. The affected party must take reasonable steps to reduce the impact. If the interruption lasts more than 30 days, either party may end the affected unperformed services. Refunds are handled under sections 7 and 8.

12. Responsibility and liability

12.1 We are responsible for losses caused by our breach of contract or failure to use reasonable care and skill, subject to the lawful limits below.

12.2 Business customers. To the extent permitted by applicable law, our aggregate liability arising from an engagement is limited to the service fee actually paid to us for that engagement. This excludes separately disclosed third-party charges. If no service-fee allocation was agreed before acceptance, the cap is the total engagement price actually paid to us. Refunds of unused customer funds are not reduced by this cap.

12.3 Business customers. To the extent permitted by law, we are not liable for indirect or consequential loss, or loss of profit, revenue, business opportunity or anticipated savings. We are not responsible for an authority's or bank's independent decision, or a loss caused by inaccurate customer information, except to the extent our own breach contributed to it.

12.4 Consumers. The business-customer cap and exclusions in sections 12.2 and 12.3 do not apply to you. Liability is determined under applicable consumer and other mandatory law.

12.5 Nothing excludes or limits liability for fraud, deliberate misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Mandatory duties, remedies and data protection rights remain unaffected.

12.6 Tell us about a problem promptly so we can investigate and reduce any loss. This request does not replace statutory limitation periods or waive a claim merely because you did not notify us within a shorter contractual period.

12.7 Business customers. You indemnify us against reasonable, evidenced third-party claims and direct costs caused by your material breach of these terms, unlawful conduct or supply of false or materially inaccurate information or documents. This responsibility applies only to the extent you caused the loss and excludes loss caused by our own breach, negligence or misconduct. We must notify you where legally permitted, minimise the loss and consult you before settling a claim we seek to recover from you. This clause does not apply to consumers.

13. Our website and materials

13.1 Website content, videos, calculators and social posts provide general information. Requirements and fees can change. They do not replace your quotation or independent professional advice.

13.2 We take reasonable steps to keep our materials accurate but cannot promise uninterrupted access or error-free content. Nothing here excludes responsibility for misleading statements or other liability that cannot lawfully be excluded.

13.3 Our branding and original materials belong to us or our licensors. You may retain and use materials supplied to you for your own engagement. Republishing or commercially exploiting them requires permission unless otherwise permitted by law. Your documents remain yours.

14. Complaints, law and disputes

14.1 Send complaints to info@viau.ae with your order reference and the issue you want resolved. We aim to acknowledge them within five business days and provide a substantive response within 15 business days. If more time is needed, we explain why. This process does not delay or restrict your legal rights.

14.2 Subject to mandatory applicable law, the agreement is governed by UAE law as applied in the Emirate of Dubai. For business customers, the onshore courts of Dubai have exclusive jurisdiction, except where applicable law requires otherwise.

14.3 If you are a consumer, this choice of law does not deprive you of mandatory protections that apply to you, including those of your country of habitual residence where relevant. Nothing requires you to use Dubai courts where mandatory jurisdiction rules give you another forum. You retain access to competent regulators, courts and any legally available complaint procedures.

15. The remaining details

15.1 The accepted quotation, any expressly incorporated service agreement and these terms form our agreement. Nothing excludes binding pre-contract information, liability for misrepresentation or rights protected by mandatory law.

15.2 The version you accepted applies to your engagement. Later website updates do not retrospectively change it. Material changes to an existing engagement require agreement unless a change is required by law.

15.3 Neither party may transfer the agreement without the other's written consent, except where a transfer occurs by operation of law. No transfer may reduce mandatory consumer protections.

15.4 If a provision is invalid, the remaining provisions continue where the agreement can lawfully operate without it. An unenforceable consumer term is not rewritten simply to preserve a restriction on your rights.

15.5 A delay in enforcing a right does not waive it. Clauses intended to continue after completion, including confidentiality, accrued payment obligations and dispute provisions, continue as applicable.

15.6 These terms are written in English. If we supply a translation, English governs only to the extent permitted by law. This does not override mandatory language requirements or protections concerning how terms are communicated.

15.7 Formal notices may be sent to info@viau.ae or our registered address. We send contractual notices to the contact details you provide, using any form required by applicable law.
